Terms of Service

These Terms of Service ("Terms") govern your use of Pay-Sidekick (the "Service") operated by VibeProSoft ("we", "us"). By accessing or using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years of age (the age of majority in your province or territory) to create an account. Anonymous, unauthenticated use of the planner is permitted without an account, but no data will be persisted across sessions.

2. Account Registration

Account creation is handled through our identity provider (Clerk). By signing up, you agree to:

• Provide accurate registration information;
• Maintain the security of your account credentials;
• Notify us immediately of any unauthorized access at support@pay-sidekick.vibeprosoft.com.

3. Acceptable Use

You agree not to:

• Use the Service to violate any law or third-party right;
• Attempt to gain unauthorized access to any part of the Service, other users' data, or our infrastructure;
• Reverse-engineer, decompile, or attempt to extract the source code beyond what is publicly served by the client SPA;
• Use automated means (scrapers, bots) to access the Service at a rate or volume that materially impairs other users' experience;
• Misrepresent yourself or impersonate another person.

4. Service Availability

Pay-Sidekick is provided on an "as-is, as-available" basis. We strive for high availability but do not guarantee uninterrupted access. Planned maintenance windows will be announced where reasonably possible.

5. Intellectual Property

The Service's software, design, branding, and tax-engine implementation are owned by VibeProSoft. Statutory tax constants (CRA bracket tables, CPP/EI rates, etc.) are public information not owned by anyone.

You retain ownership of any planning data you input. By using the Service while signed in, you grant us a limited licence to store and process that data solely to deliver the Service to you, as detailed in our Privacy Policy.

6. Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided without warranty of any kind, express or implied, including (but not limited to) warranties of merchantability, fitness for a particular purpose, or non-infringement.

7. Limitation of Liability

To the maximum extent permitted by law, VibeProSoft, its operators, and contributors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of your use of the Service.

8. Termination

You may delete your account at any time from your account settings or by contacting support. We may suspend or terminate accounts that violate these Terms, with reasonable notice except in cases of demonstrated abuse.

Upon termination, your planner state is permanently deleted from our active systems within 30 days. Audit-log records may be retained for an additional period as required for security, fraud-prevention, or legal-compliance purposes.

9. Changes to These Terms

We will publish a new version of these Terms when they change. Signed-in users will be required to review and accept the new version on next sign-in before continuing to use the Service. Material changes will be summarised in the version's "summary of changes" field, visible on the Terms page and in the acceptance modal.

10. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
